Mr. Odell Guyton is a certified compliance and ethics professional. He is highly regarded in the compliance and ethics fields as an industry leader and a valuable resource in designing, implementing, and managing effective corporate governance and compliance programs for multi-national organizations. He has a significant track record of accomplishment over his long career. He mentors compliance and ethics professionals on the practical implementation of anti-corruption/anti-bribery compliance measures, effective compliance operations and the administration of 3rd party due diligence compliance.
He is highly skilled in matters before regulatory authorities, white-collar criminal defense, complex litigation, litigation support, corporate governance, 3rd-Party risk management, M&A due diligence, corporate investigations, and compliance consulting. He has deep experience regarding global manufacturing, technology, healthcare, and university systems compliance and investigation matters. Mr. Guyton is a former Corporate Vice President, Head of Legal and Global Compliance for Jabil Circuit, Inc., St. Petersburg, Florida, USA, a Fortune 200 diversified manufacturing services company with over 200,000 employees in 33 countries. In this role he developed and maintained a comprehensive legal compliance and investigations program based on accepted corporate governance principles. He is a former Assistant General Counsel and the Director of Legal Compliance for the Microsoft Corporation, Redmond, Washington. In this role he was the architect of and managed the day-to-day operations of the company’s first global corporate compliance program which was designed to meet and exceed government guidance and industry practice. In addition, he was independently appointed and served as the Microsoft Board Appointed Anti-Trust Compliance Officer responsible for certifying Microsoft’s full compliance with the US District Court Consent Decree and multiple States Settlement against the company.
Prior to employment at Microsoft, he served as the Institutional Compliance Officer for the University of Pennsylvania and for the University of Pennsylvania Health System, Philadelphia, Pennsylvania. There he was responsible for the university and the university health system’s compliance with federal and state law and regulatory requirements governing institutions of higher education and state and federal healthcare, NCAA, and Department of Education regulations. Before employment at the University of Pennsylvania, Mr. Guyton was engaged in the private practice of law. He represented individuals and corporations in white-collar criminal and civil enforcement matters, internal investigations, and qui-tam (whistleblower) matters brought by the US Department of Justice and the Security and Exchange Commission.
Mr. Guyton served with distinction as an Assistant United States Attorney in the Eastern District of Pennsylvania, United States Attorney’s Office prosecuting violations of US federal law. He received multiple commendations during his federal service including the “Superior Performance as An Assistant US Attorney” award. In a separate prosecution career, he served as a Deputy District Attorney for the Philadelphia District Attorney’s Office supervising an entire division of the 6th largest prosecutor’s office in the US representing the city and county of Philadelphia, Pennsylvania.
He has served on several not for profit and university governing boards including service as Special Advisor on Compliance and Ethics to the University of California Board of Regents. He has been named as one of the “100 Most Influential Persons in Business Ethics” (Ethisphere Institute (2008)); and Attorneys Who Matter (Ethisphere Magazine (2009; 2010, 2011).He is the Co-Founder of the Society of Corporate Compliance and Ethics (SCCE) and currently serves as a member of the Board of Directors of the combined SCCE/HCCA (Health Care Compliance Association). [The SCCE/HCCA serves the education, mentoring and certification needs of over 16,000 the compliance professions world-wide.]
He has participated in several United Nations initiatives and workshops related to fighting corruption including the “UN Global Compact Guide on Fighting Corruption in Sport Sponsorship and Sport Related Hospitality” and “The UNODC Anti-Corruption Ethics and Compliance Handbook for Business.” He served as an expert consultant for the Humboldt-Viadrina, School of Governance, Berlin Germany in preparing their “Guide for Motivating Business to Counter Corruption-Using Sanctions and Incentives to Change Business Behavior” and has served as a guest lecturer for the International Anti-Corruption Academy, Laxenburg, Austria.
Mr. Guyton is licensed to practice law by the Supreme Court of Pennsylvania, the Washington State Bar Association, the U.S. District Courts, and the U.S. 3rd. Circuit Court of Appeals. He holds a Martindale-Hubbell “Preeminent AV” rating [Highest Peer Reviewed Rating]. He formally studied Bioethics at the University of Pennsylvania School of Medicine at the master’s degree level and received his Juris Doctor degree from the American University, Washington College of Law. He earned his Bachelor of Arts degree in Accounting and Criminal-Justice from Moravian College, Bethlehem, Pennsylvania. In 2015 Moravian College honored him with their highest Alumni Award (the Comenius Award) and the Pennsylvania State Senate formally commended him for his substantial contributions to the legal and ethics and compliance fields.
